BlackRockさんの議決権行使 BISと異なる判断実績
BlackRockさん、Shareholder Rights Directive II の Engagement Policy をどのように実施したのかのレポート(下記リンク）を公表しています。
その中で、Split-Vote 、BIS（BlackRock Investment Stewardship）と異なる判断をしたものが記載されています。（上記pdfの1ページの下にあるhereをクリック）。ブラックロックは、ポートフォリオマネージャーは運用するファンドについて完全な裁量権があるとのこと、BISと異なる判断は可能であり、あれば法律に定める範囲で別途開示するとしている。その別途の一覧。
Portfolio managers have full discretion to vote the shares in the funds they manage based on their analysis of the economic impact of a particular ballot item. While ballots are frequently cast in a uniform manner reflecting BIS’ position, portfolio managers may, and sometimes do, vote shares in the funds under their management different from the BIS position.
取締役選任案でBISと異なる判断をすることはあり得るとは思いますが、気候変動などに関する提案（下記のBHP、BP、ConocoPhillipsともに株主提案）に対してBISと異なる判断をするのは、どのいうことなのでしょうか？
