ISS Voting Policy Changes for 2022

ISSのvoting policy changes 案が出ていました。

内容は以下

日本に関係あるのは3、11、12。女性1名追加という既定路線です

3のGender diversity は、
・監査役会設置会社で、2022年2月1日から入りますよと言っていた（cross-shareholdings と少なくとも1/3以上の社外取締役を求めるに対して）いうのが外れた
・2023年2月より女性1名以上必要が追加された

All Marketsで追加されたSay on Climate の Managemet proposalsとShareholder Proposals。日本ではManagement側から出すことは今のところないと思われるので株主提案の12をみてみる。以下を考慮して判断するとのこと、特に変わりはない気がします

・The completeness and rigor of the company’s climate-related disclosure;
・The company’s actual GHG emissions performance;
・Whether the company has been the subject of recent, significant violations, fines, litigation, or controversy related to its GHG emissions; and
・Whether the proposal’s request is unduly burdensome (scope or timeframe) or overly prescriptive.

UKの報酬のところで、以下が追加

Environment Social and Governance (ESG) performance conditions may be used but targets should be material to the business and quantifiable.　
重要性があり定量化できないとだめよ　が追加されています。
